- Zasady ogólne
a- Sprzedaż firmy Chambrelan, zwanej dalej Firmą, jest dokonywana wyłącznie zgodnie z aktualnymi Ogólnymi Warunkami Sprzedaży
b- Wszelkie zmiany od tych warunków muszą być jasno sformuowane, zaakceptowane i zawarte na piśmie w potwierdzeniu otrzymania zamówienia.
c- Informacje zawarte w katalogach Firmy, broszurach, prospektach i tabelach jak również deklaracje przedstawicieli handlowych i technologów Firmy są jedynie do celów informacyjnych.
d- Każde zatwierdzone przez Firmę zamówienie, narzuca, dla kupującego, bezwarunkową zgodę na te ogólne warunki sprzedaży co anuluje tym samym wszelkie klauzule i założenia podane w zamówieniach lub inne korespondencji kupującego.
e- Jeśli nie uzgodniono inaczej na piśmie:
– Chambrelan nie akceptuje żadnych rezygnacji z zamówienia z powodu jakichkolwiek powodów.
– Chambrelan nie odbiera zwrotnie swoich sprzedanych dóbr.
- Dostawa
a- Terminy dostaw podane w potwierdzeniu zamówienia jak rownież te, jakie są podane na ofertach, są jedynie poglądowe a wszelkie opóźnienia nie upoważniają klienta do anulacji zamówienia, odrzucenia produktów lub wnoszenia reklamacji za ewentualne szkody.
b- Chambrelan nie akceptuje w żadym wypadku wszelkich kar za opóźnienia.
- Cena
a-Ceny są fakturowane zgodnie z wartością wynikającą na dzień dostawy. Mogą być one modyfikowane w następujących przypadkach: zmian wynikających z uwarunkowań celnych a bardziej ogólnie z postanowień dotyczących importu produktów, zmian kosztów związanych z importowanymi produktami wynikających w szczególności ze zmian kursów walutowych, zmian stawek podatkowych od obrotu lub podobnie, w przypadku powstania innych zobowiązań podatkowych.
b- Jeśli nie uzgodnio inaczej na piśmie, ceny produktów Chambrelan nie uwzględniają podatku VAT, wysyłki z magazynów Chambrelan, pakowania i transportu, co pozostaje po stronie kupującego.
c- Dla każdego zamówienia, minimalna kwota jaka jest naliczana względem każdej odrębnej dostawy to 50€.
d- Chambrelan nie akceptuje w żadnym wypadku jakichkolwiek kar za opóźnienia.
- Płatności
a- Miejscem dokonania płatności jest Chambrelan SAS Le Havre lub Chambrelan Sp. z o.o. niezaleznie od metody płatności. Weksle, darmowy transport, itp. nie dają możliwości zmiany dotyczącej miejsca płatności.
b- Jeśli nie uzgodniono inaczej, wszytkie produkty powinny być opłacone w terminie 30 dni i bez upustów.
c- W przypadku pierwszej transakcji, płatność powinna być dokonana gotówką lub przedpłatą i bez żadnych upustów.
d- W przypadku opóźnienia płatności, wymagana należność będzie automatycznie powiększona o oprocentowanie dyskontowe zgodne ze stawkami Narodowego Banku Francji (NBP w przypadku Chambrelan sp. z .o.o) plus 1,5 punkta procentowego, zgodnie z założeniami tego artukułu.
Dodatkowo, wszelkie opóźnienia w płatności, zwroty niezapłaconych produktów są automatycznie doliczane do wydatków ponoszonych przez kupującego jako odszkodowanie ustalone w Karach Umownych w wysokości 20% wartości niezapłaconej faktury.
- Odbiór, gwarancja
a- W przypadku braku powiadomienia Firmy Chambrelan, przed instalacją określonych produktów, o wszelkich brakach innych niż wynikające z transportu, klient powinien mieć świadomość braku możliwości wnoszenia wszelkich roszczeń oraz faktu iż nie będzie upoważniony do reklamacji w zakresie wszelkich widocznych defektów i defektów produktowych.
b- Generalnie, działanie reklamacji opiera się na następujących zasadach:
– Gwarancja powierzona przez Chambrelan jest wyłącznie ograniczona do dostawy lub wymiany niesprawnych produktów.
– Jako, że są to produkty zużywalne których cykl życia uzależniony jest od poprawnego montażu oraz sposobu wykorzystywania produktu, Chambrelan nie gwarantuje żadnego konkretnego terminu przydatności produktów.
– Gwarancja dotyczy jedynie normalnego zużycia produktów Firmy zgodnie z dotyczącycymi ich instrukcjami.
– Gwarancja jest ważna jedynie w przypadku gdy serwis techniczny Firmy powiadomi po analizie uszkodzonego produktu lub jego części, że dane uszkodzenie nie powstało w związku z zaniedbaniem lub modyfikacją cech produktu dokonaną przez strony klienta.
– Chambrelan w żadnym wypadku nie jest odpowiedzialne w stosunku do Klienta ani żadnej innej osoby za żadne straty lub uszkodzenia wynikające bezpośrednio lub pośrednio z użycia produktów ani też żadnych handlowych konsekwencji, jakie mogą być wynikiem strat lub uszkodzeń. W związku z powyższym Chambrelan nie akceptuje jakichkolwiek opłat powiązanych ze zdarzeniem dotyczącym powstania uszkodzenia.
- Instalacja, serwisowanie
a- Klient jest w pełni odpowiedzialny za instalację oraz serwisowanie produktów przez wyspecjalizowany personel który będzie działał zgodnie z instrukcjami oraz szerzej mówiąc zgodnie z odpowiednimi, najlepszymi praktykami w tym zakresie. Klient jest w pełni odpowiedzialny za produkty jakie są przedmiotem przeprowadzanej przez niego instalacji, pracy lub serwisu. W szczególności, Klient powiniem uzyskać wszelkie wymagane uprawnienia, licencje lub certyfikaty wymagane do przeprowadzania instalacji, użytkowania czy powierzania produktów.
b- Chambrelan nie akceptuje żadnych zobowiązań dotyczących istalacji i serwisowania produktów.
c- Klient nie jest odpowiedzialny względem Chambrelan za wszelkie uszkodzenia wynikające z wadliwego montażu lub instalacji produktów.
7. Właśność intelektualna, patenty
Chambrelan zastrzega sobie prawo do interwencji sądowej lub innej w przypadku jakiegokolwiek działania dokonanego przez któregokolwiek ze swoich klientów w przypadku naruszenia lub wykorzystania patentów, zasad projektowych, procesów produkcyjnych czy znaków handlowych należących do Firmy. Wspomniany klient, pod groźbą obowiązkowego odszkodowania, związanego z zabezpieczeniem w zakresie interwencji.
Oprzyrządowanie, plany, analizy dokonane przez Chambrelan w zakresie produkcji specjalnych elementów pozostają własnością Chambrelan nawet jeśli adekwatny wkład w koszty analiz czy oprzyrządowania był wymagany ze strony klienta.
8. Zabezpiecznie własności
Własność sprzedanych produktów nie jest przeniesiona na klienta do momentu dokonania pełnej płatności za te produkty. Niezależnie, ryzyko uszkodzeń, straty lub kradzieży produktów jest przeniesione na kupującego natychmiast po dostawie. Kupujący musi w związku z powyższym zapewnić wymagane ubezpiecznie w celu pokrycia tego ryzyka.
9. Siły wyższe
Chambrelan jest zwolniony od wszelkich zobowiązań w przypadku przypadkowych zdarzeń nieoczekiwanych zwanych siłami wyższymi. Jako takie są traktowanie m.in. następujące zdarzenia: strajki i blokady wpływające na działania Chambrelan lub jego dostawców. Klient nie będzie wykorzystywał takich zdarzeń w celu anulacji zamówienia. Ilość produktów jaka jest gotowa do dostawy w momencie wystąpienia wskazanych zdarzeń musi zostać zaakceptowana przez klienta oraz opłacona.
10. Postanowienia oglne, prawodawstwo
W przypadku wystąpienia sporu, miejscem jego rozstrzygania będzie wyłącznie sąd odpowiedni względem lokalizacji siedziby Chambrelan, nawet w przypadku reklamacji gwarancyjnej.
